1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the software, websites, and services provided by Tru Diagnostix LLC ("Tru Diagnostix," "we," "us," or "our"). By creating an account or using our services, you ("you," "Client") agree to these Terms. If you do not agree, do not use the services.

2. About Our Services

Tru Diagnostix provides AI-assisted software tools for service-based businesses, primarily auto-repair shops. The platform helps business owners and technicians document work, generate estimates and invoices, manage payment status, communicate with customers, and follow up on open work — presenting a more consistent, professional experience to their customers.

3. Accounts and Eligibility

  • You must be at least 18 years old and authorized to act on behalf of your business to use the services.
  • You are responsible for providing accurate business and customer information, and for keeping it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable Use

You agree to:

  • Use the platform in compliance with all applicable local, state, and federal laws, including laws governing customer communications and consent (such as the Telephone Consumer Protection Act and CAN-SPAM).
  • Only send messages to customers who have provided valid consent, and honor opt-out requests.
  • Not share, resell, or redistribute access to the software without our written permission.
  • Not misuse the platform, interfere with its operation, attempt to gain unauthorized access, or use it to send unlawful, deceptive, or harassing content.

You are solely responsible for the accuracy and lawfulness of the content and customer data you enter and the messages you send through the platform.

5. Payments and Subscriptions

  • Fees for subscriptions or services are billed as described at the time of purchase. Unless stated otherwise, fees are non-refundable.
  • Payments made through the platform are processed by Stripe. Customer card and bank details are handled directly by Stripe on its PCI-compliant systems; Tru Diagnostix does not collect or store full card numbers or bank credentials.
  • For shops collecting payment from their own customers, funds are routed to the shop's connected Stripe account via Stripe Connect. Your use of Stripe is subject to Stripe's terms and Connected Account Agreement.

6. Text Messaging Program

If enabled, the platform allows shops to send text-message notifications to customers who have opted in — including appointment and service reminders, service-status updates, service reports, and invoice or payment links.

  • By providing a mobile number and opting in, a customer agrees to receive recurring automated text messages related to their vehicle service. Consent is not a condition of purchase.
  • Message frequency varies based on service activity.
  • Message and data rates may apply.
  • Customers may opt out at any time by replying STOP and will receive a confirmation; reply HELP for help, or contact (502) 649-1096 / trudiagnostix@gmail.com.
  • We may suspend or discontinue the messaging program at any time. Message delivery depends on carrier availability, and carriers are not liable for delayed or undelivered messages.
  • As a Client, you are responsible for obtaining and documenting each customer's consent before enabling messages to them, and for complying with all applicable messaging laws.

7. AI-Generated Content

Tru Diagnostix uses AI to help generate diagnoses, estimates, documentation, and other content. AI output may contain errors and is provided to assist, not replace, professional judgment. All AI-generated content should be reviewed by the business owner or an authorized representative before being presented to customers or relied upon. You are responsible for the final content you present.

8. Data and Privacy

Your business data and your customers' information are stored securely in the cloud (see our Privacy Policy for details on providers and storage). Data entered into the platform is used to power your business operations and is never sold to third parties. Our collection and use of information is described in our Privacy Policy at https://trudiagnostix.com/policies/privacy-policy, which is incorporated into these Terms. You are responsible for having the right to enter customer information and for handling it lawfully.

9. Intellectual Property

The Tru Diagnostix software, platform, and related materials are owned by Tru Diagnostix LLC and protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the services during your subscription. You retain ownership of the business and customer data you enter.

10. Service Availability

The services are provided on a best-effort basis. We aim for reliable performance but do not guarantee uninterrupted or error-free availability. We will communicate scheduled maintenance or known downtime in advance when possible.

11. Disclaimers and Limitation of Liability

The services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. Tru Diagnostix is not responsible for business decisions made based on estimates, invoices, AI-generated content, or communications produced through the platform.

To the maximum extent permitted by law, Tru Diagnostix LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the services. Our total liability for any claim relating to the services will not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Tru Diagnostix LLC from claims, damages, and expenses arising out of your use of the services, your content or customer data, your messages to customers, or your violation of these Terms or applicable law.

13. Termination

You may stop using the services at any time. We may suspend or terminate access if you violate these Terms or use the services unlawfully. Provisions that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. [Confirm your preferred state.]

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and notify Clients of significant changes. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
